Marketplace & Co-Founder Escrow Terms

1. Role of ForkD

ForkD LLC operates the ForkD Marketplace and Co-Founder Escrow as a non-party facilitator between buyers, sellers, and co-founders. Listings, generated apps, and co-founder deals are between the users; ForkD is not a party to any sale or partnership agreement and makes no warranty about any listed app or any user's identity, capability, or intent.

2. Seller obligations

  • List only apps you have the right to sell, free of undisclosed encumbrances or third-party IP claims.
  • Describe the app, its features, and known limitations accurately. No deceptive screenshots or unverifiable performance claims.
  • Honor the price displayed at the time of purchase.
  • Comply with applicable tax laws in your own jurisdiction.

3. Buyer obligations

  • Pay the listed price through the platform's Stripe-hosted checkout.
  • Use purchased apps only as permitted by the listing description and the Generated-Code License Terms.
  • Report problems to the seller and to ForkD within the dispute window in Section 5.

4. Payment flow

Payments are processed by Stripe. ForkD does not store full card numbers. Sellers receive payouts net of (a) Stripe's processing fees and (b) the ForkD platform fee disclosed at listing time. Co-founder deal payments may also be reflected on-chain via the Guardian Anchor program; see the Generated-Code License Terms.

5. Refund window and disputes

Buyers may request a refund within fourteen (14) days of purchase for a marketplace app that materially fails to match its listing description. Disputes follow this order:

  1. Buyer contacts seller directly through the in-product message thread.
  2. If unresolved within seven (7) days, either party may escalate to ForkD at support@forkdme.com.
  3. ForkD may, at its sole discretion, refund the buyer, release funds to the seller, suspend the listing, or take Guardian enforcement action.

Chargebacks initiated outside this process may result in account suspension.

6. Co-founder escrow

Co-founder deals use a milestone-based escrow signed via the Guardian Anchor program on the Solana devnet. Rules:

  • Signing — both co-founders must sign the deal before funds are committed.
  • Milestone declaration — the milestone owner declares completion in-product.
  • Milestone confirmation — the counterparty must confirm within fourteen (14) days. Funds for that milestone release on confirmation.
  • Non-confirmation — if the counterparty neither confirms nor opens a dispute within the window, funds may release automatically.
  • Dispute — either party may open a dispute; ForkD will review and may release, refund, or hold funds pending evidence. ForkD's decision is final at the platform level.

7. Tier gating

Posting and messaging require the Guardian basic tier; transactions (purchases and co-founder milestone signs) require the verified tier. See the platform-level tier rules in the in-app help.

8. Limitation of liability

To the maximum extent permitted by law, ForkD LLC's liability for any marketplace or escrow dispute is capped at the platform fee it actually collected on the transaction at issue.

9. Minimum age

The marketplace and co-founder escrow are available only to users aged eighteen (18) or older. Listings, purchases, and escrow signings by under-18 accounts are void and may be reversed.

10. Service providers in the marketplace and escrow flow

Listing, messaging, transacting, and co-founder escrow involve the following processors: MongoDB (listings, messages, deal state), OpenRouter (Claude) (any AI-assisted listing copy or moderation), Expo / EAS and Expo Snack (delivery and preview of listed apps), Cloudinary (listing images and attachments), Stripe (purchase payments and platform fees), Twilio (Guardian phone verification required to transact), Privy (server-wallet signing for escrow milestone transactions), Resend and web-push providers (deal notifications), Solana devnet and the Guardian Anchor program (escrow PDAs, milestone confirmation, and on-chain fee collection), and the ForkD marketplace backend at forkdme.com (the marketplace itself).
